Risks of Investing through Launch Crowdfunding

Launch Crowdfunding Corp. (“Launch”) is a crowdfunding portal connecting investors with early-stage companies seeking financing. Securities offered through Launch are highly volatile investments carrying substantial risk. Start-up companies using this platform lack the ongoing disclosure obligations required of reporting issuers, so investors may receive no updates about their investments.

Investors risk losing their entire investment with no guaranteed returns such as dividends or interest. Currently, no secondary market exists for these securities, making them potentially impossible to sell. Offerings have not been reviewed or approved by any securities regulator. Investors lack the legal protections available when investing under a prospectus or through stock exchanges. Using borrowed funds to purchase these securities increases risk substantially.

Policy and Procedure if Launch Becomes Bankrupt or Ceases Operations

If Launch makes a general assignment for creditors' benefit, commences bankruptcy or insolvency proceedings, or discontinues operations, it will notify affected investors, issuers, and five provincial securities commissions within two business days, explaining anticipated impacts.

Should operations cease before minimum funding goals or offering deadlines are reached, all investor funds held by Launch will be refunded within five business days. If minimum investment thresholds are met, Launch will close the campaign, facilitate security issuance to investors, and release funds to the issuer.
