Risks of Investing through Launch Crowdfunding

Launch Crowdfunding Corp. (“Launch”) is a crowdfunding portal that connects investors with early stage companies seeking financing. Securities of start-ups, such as those offered through Launch Crowdfunding, are highly volatile investments that carry a great deal of risk. The companies conducting offerings through Launch are not subject to the same ongoing disclosure obligations as reporting issuers so you may not be provided with any ongoing information about the issuer and the investment. You risk losing the entire amount paid for your investment and you may not earn any return, such as dividends or interest. There is currently no market for any of the securities made available through Launch so you may never be able to sell the securities. Investments offered have not been reviewed or approved in any way by any securities regulator. You will not have the same legal rights as an investor investing pursuant to a prospectus or stock exchange. Using borrowed money to purchase securities involves greater risk.

By accessing Launch Crowdfunding, its products and services, you consent to, and agree to be bound by Launch’s Terms & Conditions and Privacy Policy. Launch Crowdfunding is a Start-up Crowdfunding portal and is not registered under Canadian securities legislation. Launch Crowdfunding does not provide advice as to the suitability or the merits of any investment and does not provide advice concerning investment, financial, legal, accounting or tax implications of investments offered though Launch Crowdfunding.

Policy and Procedure if Launch becomes Bankrupt or Ceases Operations

If, at any point in time Launch makes a general assignment for the benefit of its creditors; Launch commences any action under any requirement of law relating to bankruptcy, insolvency, winding-up, reorganization, administration, plan of arrangement relief or protection of debtors, compromise of debts or similar laws; or there is a discontinuation of the operations of the Launch crowdfunding portal for any reason; within two business days, Launch will notify all investors who have funds held by Launch, all Issuers currently performing an offering and the British Columbia Securities Commission, the Alberta Securities Commission, the Financial and Consumer Affairs Authority of Saskatchewan, the Manitoba Securities Commission and the Ontario Securities Commission of the above action and how it is anticipated those actions will impact them.

In the case that there is a discontinuation of the operations of the Launch Portal for any reason, all investor funds held by Launch for which either the minimum funding goal of the Issuer or the Issuer offering deadline has not been reached will be refunded back to investors by Launch within five business days.  If the minimum investment is met, Launch will close the campaign and facilitate the issuance of securities to investors and release of funds to the Issuer.

Launch Crowdfunding is not a registered dealer under Canadian Securities Legislation but is an unregistered Start-up Crowdfunding Portal established pursuant to National Instrument 45-110 – Start-up Crowdfunding Registration and Prospectus Exemptions. It is relying on the exemptions contained in these instruments in order to operate this crowed funding portal. The information in these Terms & Conditions describes the legal and regulatory restrictions relating to Launch Crowdfunding’s operations.

Products, services and information provided by Launch Crowdfunding shall not be considered an offer or solicitation to purchase or sell any securities. Only qualified purchasers of securities under applicable provincial crowdfunding exemptions may make offers to purchase securities through Launch Crowdfunding. A qualified purchaser may only purchase securities through Launch after acknowledging that they have read and understood the relevant Offering Document and completing the accompanying Risk Acknowledgement Form. Only qualified companies may offer securities as a crowdfunder through Launch. Crowdfunders on Launch Crowdfunding must be exempt from prospectus requirements through their respective provincial securities regulator’s crowdfunding prospectus exemption. Launch will employ reasonable and commercially appropriate measures to satisfy itself of the eligibility of Crowdfunders and investors but makes neither representations nor guarantees with regard to the eligibility of either. The information provided by Launch Crowdfunding is for information purposes only and may not be complete. No information provided by Launch Crowdfunding shall be relied upon by a purchaser in determining the suitability of a particular investment with regard to, including but not limiting, any financial, legal, or tax implications of said investment. Launch does not make any representations about the suitability of any investment.

Launch does not operate nor provide services to crowdfunders and investors in the United States of America. No products, services nor information provided by Launch is intended nor shall constitute an offer or solicitation to purchase securities to any individual or person in the United States of America as contemplated by the federal and state laws of the United States of America.

Launch Crowdfunding Corp. is a British Columbia corporation. Launch Crowdfunding Corp. and its principals, employees, and agents are not registered dealers under Canadian securities legislation and cannot provide any advice about the suitability or the merits of any investment offered by a Crowdfunder through Launch Crowdfunding.

Intellectual Property

The display of trade names, trademarks, images, logos, graphics, and designs (“Marks”) of Launch and third-parties using Launch may be subject to protections under Canadian and international laws and conventions, and shall not be copied, reproduced, or republished, in whole or in part, without the express written consent of the owner of such Marks. All information and content on Launch or provided by Launch and any third-parties using Launch, is protected under the copyright laws and conventions of Canada and other countries, and shall not be copied, reproduced, or republished, in whole or in part, without the express written consent of the owner of such copyrights.

All content, information and intellectual property rights in or on Launch, including but not limited to any products, software and services offered by Launch are owned by or licensed to Launch Corp. and may not be distributed, displayed, modified, reproduced, licensed, leased, sold, transmitted, transferred, published, copied, rented, decompiled, disassembled, or used in any other way for commercial or public purposes without the express written consent of Launch Crowdfunding Corp.

Any questions, comments, suggestions, ideas, feedback or other information provided by you to Launch shall become the sole property of Launch and may be used for any purpose, commercial or otherwise, without consent or compensation to you, subject to any restrictions imposed by Canadian and provincial privacy laws.

Terms of Use

Launch Portal will hold each investors assets separate and apart from the funding portal’s assets, held in trust in a designated trust account at a Canadian Financial Institution. 

By accessing, you hereby agree to these Terms & Conditions, which may be amended without notice from time to time, and acknowledge you have read and understood all information provided in these Terms & Conditions. Acknowledgement of notices, terms, disclaimers, risks, and agreements by clicking a box, tab, or link shall constitute an electronic signature and the electronic record thereof shall be conclusive evidence of your acceptance and acknowledgement of said notice, term, disclaimer, risk acknowledgement, or agreement.

In using the products and services provided by Launch you agree that you will not use any of them to engage in activities contrary to any Canadian and provincial laws and regulations that may, from time to time, apply to you, and that you will provide accurate, complete and current information when requested to do so by Launch and third-parties through Launch. You agree to maintain the security of any passwords and accounts, and to maintain and update all information provided by you to Launch or any third-parties through Launch.

Launch grants you a limited, non-exclusive license to use Launch and any information provided to you by third-parties through Launch for your personal and non-commercial use only. Any unauthorized use of Launch, and information contained therein, is strictly prohibited. Launch reserves the right to deny any user access to the information and services provided, without notice, in the event of any unauthorized use, or suspected unauthorized use, of Launch.
